TERMS AND CONDITIONS OF SALE In
all contracts of sale made by TRANS GLOBAL SURGICALS (the company), the
conditions of sale listed below will apply unless otherwise
specifically agreed in writing. Any terms and conditions of the prospective
buyer (the Buyer) in its order for goods of product shall have no effect,
unless otherwise specifically agreed in writing by the Company. In the event
of any conflict between the Company’s terms and conditions and the
Buyer’s terms and conditions the former shall prevail.
1.
CONTRACTS: All
contracts shall be contacted to the laws of India. Purchase orders should be
made out to TRANS GLOBAL SURGICALS. The purchase order must state the name
and address of the Buyer with whom the Contract is made, the item code,
catalogue number and all specifications of the product in decided terms; and
the name and address of the Buyer's Bankers. 2.
PRICE: This
Price List replaces all previous Price Lists and the Company reserves the
right to vary prices from time to time without notice, as considered
necessary. Prices are subject to relevant taxes. 3.
PAYMENT: Advance
payment by T/T at the time of conformation of the order. 4.
DELIVERY:
Delivery costs are to the Buyer's account. Normal lead-time for delivery is
4/6 weeks after receipt of order, complete and decided in all respects. The
Company will make every reasonable attempt to meet stated delivery terms but
does not accept any liability whatsoever for any loss or damages resulting
from any delay, Claims for non-delivery or shortage or defective goods must
be made in writing within 15 days of dispatch. Insurance cover during
transit from the Company's premises will not be arranged. 5.
CANCELLATION: The
Company reserves the right to make such charge as it considers reasonable in
respect of the cancellation of the whole, or part, of any order by the
Buyer. 6.
RETURNED
GOODS POLICY: Goods
once sold will not be taken back except for manufacturing defects or
dispatch error. Prior authorization to return the goods should be taken from
the Company, failing which the Company reserves the right not to accept such
goods. 7.
REPRESENTATION: The
Buyer shall not rely upon any special terms or offer concerning their
orders, unless the Company in writing shall have made it. 8.
FORCE
MAJEURE: The
Company shall be entitled to cancel any contract without any liability for
loss or damage resulting there from, if the performance of its obligations
under the contract is in any way adversely affected by any war, strike, lock
-out trade dispute, flood, accident to plant or machinery, government
control, shortage of any material or labour or failure of any subcontractor
or any other cause whatsoever beyond the Company's control. |
